Target and portfolio due diligence
The first pass through the data room, done before your team opens it
The first pass through a data room is where deal-breakers are found or missed. Contracts, accounts, policies and data exports are all read under time pressure, and the risk lies in whatever nobody reached at the end of a long day. This is the red flag stage, before confirmatory diligence, and it is where a system adds the most.
What it does
- 01Reads the data room and pulls the terms, dates, obligations and figures that matter to the thesis
- 02Compares what it finds against your own checklist, the previous period, or a comparable deal
- 03Flags gaps, inconsistencies and anything unusual before review starts
- 04Cites the document and page behind every finding
What it changes
- The red flag pass takes a fraction of the time, so the decision on whether to proceed rests on evidence
- The questions to management are sharper and arrive earlier
- Portfolio monitoring becomes a low-cost routine each quarter
What you can check
Every finding links to its source document and page. Nothing is asserted without a citation.
What it looks like
Illustrative. Built around your firm, your clients and the systems you already run.
Questions
- Does it replace our diligence advisers?
- No. It does the reading, so your deal team and advisers can spend their time on judgement.
- How does it handle a badly organised data room?
- That is the normal case. Documents are classified first, then read.
- Is our data room content used to train anything?
- No, never.
